In April 2000, the Company adopted a plan of dissolution and liquidation, which was approved by its stockholders in July 2000. After the approval, Salient 3 ceased to exist for the purpose of continuing business operations, but will continue for a period of three years (until year-end 2003) for the purpose of winding up its affairs.
