ESI Tractebel Funding Corp. (Funding Corp.) is a special-purpose funding company formed for the purpose of issuing securities. The Company acts as the agent of Northeast Energy Associates (NEA), a limited partnership, and North Jersey Energy Associates (NJEA), a limited partnership (collectively, the Partnerships) with respect to the securities and holds itself out as the agent of the Partnerships in all dealings with third parties relating to the securities. The Partnerships, owners of electric power generation stations in the northeastern United States, are owned indirectly by subsidiaries of ESI Energy, LLC (ESI Energy) and SUEZ Energy Generation North America, Inc. (SUEZ Power). NEA's facility is located in Bellingham, Massachusetts. NJEA's facility is located in Sayreville, New Jersey.
