Business Summary
JPE, Inc. is a manufacturer and distributor of automotive and truck components for the original equipment manufacturer (OEM) and the replacement part markets principally in North America. Until it was sold in February 2003, Dayton Parts, Inc. (DPI) conducted the Company's aftermarket operation. DPI manufactured and distributed springs and spring-related products, as well as a variety of other undercarriage replacement parts for trucks and trailers. The Company's OEM group originally consisted of four operating subsidiaries: JPE Canada Inc. (JPEC), Industrial & Automotive Fasteners, Inc. (IAF), Starboard Industries, Inc. (Starboard) and Plastic Trim, Inc. (PTI). JPEC and IAF were sold in 1999, and Starboard and its wholly owned subsidiary, SAC Corporation, were merged with and into PTI in October 2002. In June 2003, the Company sold the assets of PTI. The sale of PTI's and its related assets constituted a sale of substantially all of the Company's assets.
