Business Summary
CCU Escrow Corporation is a newly formed entity that was created solely to issue $850,000,000 in aggregate principal amount of 10.0% senior notes due 2018 (the “Notes”) in a private offering. At the closing of the offering of Notes, CCU Escrow will deposit the gross proceeds of the offering into a segregated escrow account until the date on which certain escrow release conditions are satisfied, including the substantially concurrent (1) redemption of approximately $567.1 million aggregate principal amount of Clear Channel Communications, Inc.’s 5.5% senior notes due 2014 and $241.0 million aggregate principal amount of Clear Channel’s 4.9% senior notes due 2015, and (2) assumption of CCU Escrow’s obligations under the Notes by Clear Channel. Upon the consummation of the redemption of the 2014 legacy notes, CCU Escrow will merge with and into Clear Channel, with Clear Channel continuing as the surviving corporation.
