Business Summary
JSC Partnership Fund ("Fund") is a private equity fund that is 100% state owned. The Fund has two main products: insurance and investment. Insurance is mostly applied in energy sector through guaranteeing the off take agreement liabilities. Investment products are: equity, subordinated loan (convertible or non-convertible), senior loan (convertible or non-convertible). The Fund participates in projects in which a corporate investor, with sufficient experience in industry, expresses its willingness to take an equity participation that represents at least 51% of the project’s total equity and 25% of the total necessary financing. The Fund’s financial participation is limited to 49% of the project’s total equity and 25% of the total necessary financing, since most projects would also attract debt financing. In rare instances in which debt-financing cannot be mobilized (e.g., owing to long project gestation periods before positive cash flow can be generated) and all of the financing is in the form of equity, the share of the Fund in total financing can rise to 49%, equivalent to its contribution to start-up equity.
