Business Summary
NB&T Financial Group, Inc. Employees Stock Ownership Plan is a defined contribution plan with a profit-sharing component and leveraged ESOP component. The Plan is sponsored by NB&T Financial Group, Inc. which covers substantially all of its employees who meet minimum age and length of service requirements. Shares of NB&T Financial Group, Inc.'s common stock held by the Plan were purchased with the proceeds of borrowings from NB&T. NB&T makes annual contributions to the ESOP equal to the ESOP’s debt service less dividends on unallocated shares received by the ESOP. All dividends on unallocated shares received by the ESOP are used to pay debt service. The ESOP shares initially were pledged as collateral for its debt. As the debt is repaid, shares are released from collateral and allocated to plan participants, based on the proportion of debt service paid in the year to total expected debt service. In December 2010, the Plan’s debt, which was due to mature in 2011, was paid in full and all remaining shares were released for allocation.
