Business Summary

Pure Energy Visions Corporation (Pure Energy) is Canada-based manufacturer of rechargeable alkaline batteries. Pure Energy products are sold under the Pure Energy and Perfectly Natural Solutions brands. The products are sold in over 12 countries by retailers and original equipment manufacturers (OEM's). On August 20, 2009, the Company entered into a joint operating agreement with Pure Energy Solutions Inc. (Pure Energy Solutions), consisting of two stages. Stage 1 combined the development, marketing and sales of the Company's and Pure Energy Solutions' battery and charging related products. Stage 2 entailed the transfer of the Company’s battery business, including agreements, intellectual property and the Amherst manufacturing facility and certain assets held by the Company, in exchange for a 50% ownership in Pure Energy Solutions. The Company completed stage 2 of the transaction on June 9, 2010. As of July 31, 2010, the Company held a 33% interest in PureEnergy Solutions.
