Quest Energy Partners, L.P. filed a Registration Withdrawal Request on Form S-1 with the SEC on 11/20/2009. The Registration Statement was filed on 7/24/2008 in connection with the Partnership’s intention of raising funds in order to, among other things, repay indebtedness under the Partnership’s $45 million second lien senior term loan, which was then due and payable on 1/12/2009, and to fund future acquisitions. The reason for this withdrawal is that the Partnership believes it will not be able to issue its securities at an acceptable price due to current market conditions.
On March 5, 2010, Quest Energy Acquisition, LLC, a Delaware limited liability company that was a wholly-owned direct subsidiary of PostRock Energy Corporation, merged with and into Quest Energy Partners, L.P. (“QELP”) with QELP as the surviving entity, which then converted into a Delaware limited liability company and was renamed as PostRock MidContinent Production, LLC. As a result of the merger and the conversion, QELP became an indirect wholly-owned subsidiary of PostRock.

PostRock MidContinent Production, LLC, formerly Quest Energy Partners, L.P. (Quest Energy), is engaged in the exploration, development and production of oil and gas properties. As of December 31, 2008, the Company had a total of approximately 167.1 billions of cubic feet equivalents (Bcfe) of net proved reserves. As of December 31, 2008, approximately 83.2% of the net proved reserves were proved developed and 97.6% were gas. The Company’s properties include Cherokee Basin, Appalachian Basin and Seminole County.
